Startup Recognition vs Udyam Registration: Which You Need
DPIIT startup recognition vs Udyam registration: who can apply, the tests, benefits for loans and tax, and when a business should hold both. Free to apply.

In this article (9 sections)
DPIIT startup recognition and Udyam registration answer different questions. Udyam tells banks and government buyers that your business is a micro, small or medium enterprise, and almost any business can get it. DPIIT recognition tells startup schemes that you are a young, innovative company, LLP, registered partnership or co-operative society. If you want bank loans and MSME benefits, you need Udyam; if you also want startup schemes, you need DPIIT recognition too. Both are free. Rules below are as of November 2026.
The two certificates side by side
| DPIIT startup recognition | Udyam registration | |
|---|---|---|
| Issued by | Department for Promotion of Industry and Internal Trade (DPIIT), Ministry of Commerce | Ministry of MSME |
| Where to apply | Startup India portal (through the National Single Window System) | udyamregistration.gov.in |
| Who can apply | Private limited company, registered partnership, LLP, co-operative society | Proprietorship, HUF, partnership, LLP, company, co-operative, trust and other entities |
| Main test | Up to 10 years from incorporation (20 for deep tech); turnover below ₹200 crore in every year (₹300 crore for deep tech); working on innovation with potential for jobs or wealth | Investment in plant and machinery and turnover limits for micro, small or medium |
| Not eligible | Businesses formed by splitting up or reconstructing an existing business | Turnover and investment above the medium limits |
| Validity | Lapses when you cross the age or turnover limit | No renewal; update details when they change |
| Fee | Free | Free |
The startup limits come from DPIIT's February 2026 notification (G.S.R. 108(E)), which raised the turnover ceiling from ₹100 crore to ₹200 crore and created the deep-tech category.
Udyam size classes (from 1 April 2025)
| Class | Investment in plant and machinery | Turnover |
|---|---|---|
| Micro | Up to ₹2.5 crore | Up to ₹10 crore |
| Small | Up to ₹25 crore | Up to ₹100 crore |
| Medium | Up to ₹125 crore | Up to ₹500 crore |
What each one unlocks
Udyam registration (details in Udyam registration benefits for MSME loans):
- Priority-sector classification of your bank loans
- RBI's rule that micro and small enterprise loans up to ₹20 lakh sanctioned or renewed from 1 April 2026 need no collateral
- Eligibility for CGTMSE guarantee cover and most central and state MSME subsidies
- Protection against late payment: buyers must pay micro and small suppliers within 45 days, or owe compound interest at three times the RBI bank rate, claimable through the MSME ODR portal
DPIIT recognition:
- Access to startup-specific schemes such as the Credit Guarantee Scheme for Startups and Fund of Funds-backed investors
- The route to the startup tax holiday, which needs an extra Inter-Ministerial Board certificate; see startup tax exemption under Section 140 (old 80-IAC)
- Startup-category benefits in some state policies, which often ask for DPIIT or state startup recognition
Note that the Startup India Seed Fund Scheme closed to new applications on 31 May 2026, so do not apply for recognition only for that.
Which application does your business need?
| Your business | Udyam | DPIIT recognition |
|---|---|---|
| Proprietor running a shop, workshop or agency | Yes | Not eligible |
| Partnership manufacturing standard products | Yes | Usually no: not innovation-led |
| Two-year-old LLP building a new software product | Yes, if you will borrow or sell to government or large buyers | Yes |
| Private limited deep-tech company in year 12 | Yes | Possibly, under the 20-year deep-tech window |
| A company formed by restructuring an existing business | Yes | Not eligible |
Worked example: one startup, two certificates
A three-partner LLP, incorporated two years ago, builds inventory software. It has ₹40 lakh invested in computers and equipment and turnover of ₹1.8 crore.
- Udyam: investment ₹40 lakh (below ₹2.5 crore) and turnover ₹1.8 crore (below ₹10 crore), so it is a micro enterprise.
- DPIIT: an LLP, under 10 years old, turnover far below ₹200 crore and working on a new product, so it can apply for recognition.
Why the Udyam certificate matters in practice: suppose a large customer pays a ₹5 lakh invoice 60 days late beyond the 45-day limit. At an illustrative bank rate of 5.5%, the MSMED Act rate would be 3 × 5.5% = 16.5% a year, compounded monthly:
₹5,00,000 × [(1 + 0.165 ÷ 12)² − 1] = ₹5,00,000 × 0.02769 ≈ ₹13,845 of interest for two months.
Use the bank rate actually notified by RBI for your dates. Without Udyam, this protection is much harder to claim.
If you need both: a sensible order
- Fix the structure first. If you are a proprietor and want startup benefits, incorporate a private limited company or LLP (or register a partnership) before applying for anything, so both certificates are in the same entity's name.
- Get PAN, GST (if applicable) and a current account in the entity's name.
- Register on Udyam with the entity's PAN. This takes one sitting and is what your bank will ask for first.
- Apply for DPIIT recognition with a clear description of what is new in your product or process. Keep the recognition number with your Udyam number in loan and scheme files.
- Update both when facts change: Udyam when turnover or investment changes, and track the DPIIT age and turnover limits so you know when recognition ends.
Documents to keep ready
For Udyam
- Aadhaar of the proprietor, managing partner, karta or authorised signatory
- PAN of the entity (and GSTIN where GST applies)
- Investment and turnover figures (largely picked up from ITR and GST data)
- Bank account details and NIC activity code
For DPIIT recognition
- Certificate of incorporation or registration (company, LLP, partnership, co-operative)
- PAN of the entity and details of directors or partners
- A short write-up of the product or service and why it is innovative, with any website, pitch deck, patent or trademark
- Funding details, if any, and an authorisation letter
Common mistakes
- Applying for DPIIT as a proprietorship; it will be rejected. Convert first if startup benefits matter.
- Assuming DPIIT recognition gives the tax holiday; it does not without the IMB certificate.
- Skipping Udyam because you have DPIIT; banks still ask for Udyam to classify you as an MSME.
- Registering a second Udyam for the same PAN. One PAN can have only one Udyam registration.
- Paying "consultants" who promise approval. Both portals are free and approvals cannot be bought.
Where to raise problems
- Udyam portal issues: the helpdesk on udyamregistration.gov.in, or the District Industries Centre.
- DPIIT recognition delays: the Startup India portal's contact and grievance options; then CPGRAMS at pgportal.gov.in.
- Bank ignoring your MSE status (for example, asking for collateral on a loan below ₹20 lakh): bank grievance officer, then the RBI Integrated Ombudsman at cms.rbi.org.in after 30 days.
- Delayed buyer payments: file a case for the state MSE Facilitation Council through the Ministry of MSME's delayed-payment portal (MSME ODR portal, odr.msme.gov.in, which replaced MSME Samadhaan for new cases from 15 October 2025).
Key takeaways
- Udyam classifies any business as micro, small or medium; DPIIT recognises innovative young companies, LLPs, registered partnerships and co-operatives as startups.
- Proprietorships can get Udyam but not DPIIT recognition.
- DPIIT limits from February 2026: under 10 years (20 for deep tech) and turnover below ₹200 crore (₹300 crore for deep tech).
- Udyam drives bank lending benefits; DPIIT drives startup schemes. Many startups need both.
- Both are free; the tax holiday needs a separate IMB certificate.

Frequently asked questions
Is DPIIT startup recognition the same as Udyam registration?
No. DPIIT recognition certifies an innovative young company, LLP, registered partnership or co-operative society as a startup. Udyam registration certifies any business as a micro, small or medium enterprise based on investment and turnover. They are issued by different departments and unlock different benefits.
Can a sole proprietorship get DPIIT startup recognition?
No. As of November 2026 the eligible entity types are private limited companies, registered partnership firms, LLPs and co-operative societies. A proprietorship can get Udyam registration but must change its structure to be recognised as a startup.
Can a startup have both DPIIT recognition and Udyam registration?
Yes. Many startups hold both. DPIIT recognition is useful for startup-specific schemes and the tax holiday route, while Udyam is what banks use for MSME classification, collateral-free lending rules and CGTMSE cover.
Do I have to pay to get DPIIT recognition or Udyam registration?
No. Both are free on the official portals. The Startup India portal says no fee is charged for recognition and no agency is appointed, and the Udyam portal also warns against paying anyone to file.
Does DPIIT recognition give a tax exemption automatically?
No. The three-year profit deduction, now Section 140 of the Income-tax Act, 2025 (old Section 80-IAC), needs a separate certificate from the Inter-Ministerial Board and applies only to eligible companies and LLPs.
