Udyam registration is the free, online, paperless certificate that proves your business is a micro, small or medium enterprise (MSME). For borrowing, it matters because RBI asks banks to classify MSME loans using the Udyam certificate, which brings priority sector status, the rule that micro and small enterprise loans up to ₹20 lakh need no collateral, and access to CGTMSE guarantees and scheme loans. As of October 2026 it takes Aadhaar and PAN (plus GSTIN where GST applies) and can be done in one sitting on udyamregistration.gov.in.

Udyam is not a loan scheme and does not guarantee a loan. It is the identity card that unlocks MSME benefits. All rules below are as of October 2026.

MSME classification from 1 April 2025

The Ministry of MSME revised the limits by notification S.O. 1364(E) dated 21 March 2025. An enterprise has to meet both the investment and turnover limits for a category; exceeding either moves it up.

Category Investment in plant, machinery or equipment Annual turnover
Micro Up to ₹2.5 crore Up to ₹10 crore
Small Up to ₹25 crore Up to ₹100 crore
Medium Up to ₹125 crore Up to ₹500 crore

The earlier limits (1 July 2020 to 31 March 2025) were ₹1 crore / ₹5 crore for micro, ₹10 crore / ₹50 crore for small and ₹50 crore / ₹250 crore for medium. Export turnover is excluded when computing turnover. Investment and turnover figures are pulled automatically from income-tax and GST records, so your category updates over time.

Loan benefits of Udyam registration

Benefit What it means for you Source of the rule
Priority sector lending All bank loans to MSMEs count as priority sector, so banks have targets to lend to you RBI priority sector directions
No collateral up to ₹20 lakh Banks must not take collateral on micro and small enterprise loans up to ₹20 lakh sanctioned or renewed from 1 April 2026; up to ₹25 lakh for good track records at the bank's discretion RBI MSME lending directions, 9 February 2026
Faster decisions Credit decision within 14 working days for MSE loans up to ₹25 lakh RBI MSME lending directions
CGTMSE guarantee Collateral-free cover on MSE loans up to ₹10 crore CGTMSE scheme
No prepayment charges Commercial banks cannot levy prepayment charges on floating-rate business loans to MSEs sanctioned or renewed from 1 January 2026 (some smaller lenders only up to ₹50 lakh) RBI prepayment charges directions, 2025
Scheme access Mudra, PMEGP, CGTMSE, government procurement and state subsidies usually ask for Udyam Scheme guidelines
Faster payment from buyers Buyers must pay micro and small suppliers within 45 days; late payment attracts compound interest at three times the RBI bank rate MSMED Act, 2006

Retail and wholesale traders can also register on Udyam, but only for priority sector lending purposes.

How Udyam helps you get paid on time

Late payment by big buyers is the most common reason small businesses need working capital loans. Under the MSMED Act, a buyer must pay a micro or small supplier within the agreed period, which cannot exceed 45 days (15 days if there is no written agreement). Late payments attract compound interest with monthly rests at three times the bank rate notified by RBI.

The Income-tax law adds pressure: a buyer cannot deduct an amount owed to a micro or small enterprise as an expense until it is actually paid, if it is paid beyond the MSMED Act time limit. This was old Section 43B(h) of the Income-tax Act, 1961; the government has said the corresponding provision in the Income-tax Act, 2025 is Section 37(2)(g). Unpaid suppliers can file a case on the MSME Samadhaan portal (samadhaan.msme.gov.in), but only with a Udyam number.

Worked example: is your unit micro or small?

A tool-manufacturing unit has ₹1.8 crore invested in machinery and turnover of ₹8 crore, including ₹1 crore of exports.

  • Investment ₹1.8 crore is within the micro limit of ₹2.5 crore
  • Turnover for classification = ₹8 crore − ₹1 crore exports = ₹7 crore, within the ₹10 crore micro limit
  • Result: micro enterprise. Under the pre-April 2025 limits, ₹1.8 crore of investment would have made it small

Now suppose the unit needs an ₹18 lakh term loan for a new machine, over 5 years at an illustrative 10.5%:

  • EMI = P × r × (1 + r)^n / [(1 + r)^n − 1], with r = 10.5 / 12 / 100 and n = 60 = ₹38,689
  • Total interest = about ₹5,21,341
  • Because it is an MSE loan under ₹20 lakh sanctioned after 1 April 2026, the bank cannot ask for property as collateral, and the decision should come within 14 working days

Try your own amount and rate in the EMI calculator.

How to register on Udyam, step by step

  1. Open udyamregistration.gov.in, the only official portal. Choose "For New Entrepreneurs who are not Registered yet as MSME".
  2. Enter Aadhaar of the proprietor, managing partner (for a firm) or authorised signatory (for a company, LLP, co-operative or trust) and verify with OTP.
  3. Validate PAN of the business. A PAN is required for all except those using the Udyam Assist route; GSTIN is needed if your business must be GST-registered.
  4. Fill the details: name, type of organisation, address, bank account, main activity with NIC code, number of employees, investment and turnover (pre-filled from PAN and GST where available).
  5. Submit with OTP. You get an Udyam Registration Number immediately and a certificate with a QR code by email.
  6. Keep it updated. There is no renewal, but update the details on the portal if ownership, address or activity changes.

If you were registered under the old Udyog Aadhaar (UAM), you need to re-register on Udyam; old UAM numbers are no longer valid for MSME benefits. Informal micro units without PAN or GST can get an Udyam Assist Certificate through a designated agency such as a bank, NBFC or SIDBI.

Common mistakes

  • Paying a private website. Many look official and charge a fee for a form that is free on the government portal. Check the URL is udyamregistration.gov.in.
  • Wrong NIC code. Choose the code that matches your main activity; a trading code can limit you to priority sector benefits only.
  • Mismatched data. If turnover in Udyam does not match GST returns, banks may question it.
  • Assuming Udyam alone gets the loan. Keep your CIBIL and CIBIL MSME Rank clean; see CIBIL MSME Rank and business credit score.

How to complain

If a bank asks for collateral on an MSE loan up to ₹20 lakh, delays a decision beyond 14 working days, or charges prepayment fees not allowed by RBI, complain to the branch and the bank's grievance officer in writing. If there is no resolution in 30 days, file with the RBI Integrated Ombudsman at cms.rbi.org.in. For delayed payments from buyers, use MSME Samadhaan. For problems with the Udyam portal or the MSME office, use pgportal.gov.in or the MSME Champions portal.

Where to go next

Once registered, choose the loan: a Mudra loan for a new business, a CGTMSE collateral-free loan, or a subsidy under PMEGP. If you are unsure between a term loan and a cash credit limit, read working capital loan vs term loan.

Key takeaways

  • Udyam registration is free, paperless and permanent; never pay a website to file it.
  • From April 2025, micro means up to ₹2.5 crore investment and ₹10 crore turnover; small up to ₹25 crore and ₹100 crore.
  • RBI uses the Udyam certificate to treat your loan as priority sector, and bars collateral on MSE loans up to ₹20 lakh sanctioned from 1 April 2026.
  • Buyers must pay micro and small suppliers within 45 days; old Section 43B(h), now Section 37(2)(g) of the Income-tax Act, 2025, delays their tax deduction if they do not.
  • Udyam does not guarantee a loan; your cash flow and credit history still decide approval.

Frequently asked questions

Is Udyam registration free?

Yes. Registration on udyamregistration.gov.in is completely free and there is no renewal. The portal itself warns that no fee is to be paid to anyone; private sites that charge for filing the same form are not official.

What documents are needed for Udyam registration?

Only Aadhaar of the proprietor, managing partner or authorised signatory, the PAN of the business, and GSTIN where GST registration is mandatory. It is a self-declaration; investment and turnover data are taken from PAN and GST databases, and no documents are uploaded.

What are the MSME limits from April 2025?

Micro: investment up to ₹2.5 crore and turnover up to ₹10 crore. Small: up to ₹25 crore and ₹100 crore. Medium: up to ₹125 crore and ₹500 crore. An enterprise must be within both limits for a category.

Does Udyam registration guarantee a loan?

No. It proves you are a micro, small or medium enterprise, which brings priority sector status, the RBI collateral-free rule for MSE loans and access to schemes such as CGTMSE. The bank still appraises your cash flow and credit history.

Is Udyam registration required for a Mudra or PM SVANidhi loan?

PM SVANidhi guidelines say Udyam is not required. For Mudra, banks often ask for it and it helps, but small informal units can get an Udyam Assist Certificate through their lender instead.

What is the Udyam Assist Platform?

It is a route for informal micro enterprises without GST or PAN-based records to get an Udyam Assist Certificate through a designated agency such as a bank, NBFC or SIDBI. RBI treats these units as micro enterprises for priority sector lending.
